Application for Deregistration of Hong Kong Limited Company

As the whole process to apply deregistration will takes around 6-8 months to dissolve (for no business case). If the company has commence business, it may take a longer time.
The procedure is as follows:
1. Submit an application form to the Inland Revenue Department to obtain a letter of no-objection from the Commissioner of Inland Revenue to the company being deregistered.
2. Submit an application for deregistration to the Companies Registry.
3. The Registrar will then publish a notice of the proposed deregistration in the Gazette. This notice will state that unless an objection is received within 3 months after the date of publication of the notice, the Registrar may deregister the company and dissolve it.
4. If the objection to the deregistration has been received by the Registrar at the end of the 3 months period, the Registrar will deregister the company by publishing another notice in the Gazette declaring it to be deregistered upon the date of publication of the notice.
5. If within 3 months, the counter notification is received, the Companies Registry will gazette again for 3 months
* Although the Company is applying deregistration. But according to section 662 of Hong Kong Companies Ordinance, a private company must deliver an annual return to the Registry for registration within 42 days after the company’s return date every year (except the year of its incorporation) until the Company was dissolved.
